General Terms and Conditions

This is a convenience translation. The German version is legally binding.

1. Scope

These terms govern the business relationship between HRIT.ch GmbH (the «Contractor») and its clients (the «Client») for HR interim mandates, HR consulting and related services. They apply to business-to-business (B2B) transactions. Differing or conflicting terms of the Client are not recognised unless expressly accepted in writing.

2. Assignment and scope of services

The scope of services follows from the individual assignment. Unless agreed otherwise in the assignment, the Contractor owes diligent performance according to the rules of its profession, but no specific result.

3. Fees and expenses

The fee is agreed on the basis of day rates, monthly retainers or a project fee. Expenses are passed on at cost. All prices are in CHF, excluding VAT.

4. Payment terms

Invoices are due net within 14 days. In the event of late payment, the Contractor is entitled to charge default interest of 5 percent per year as well as reasonable reminder fees.

5. Duties to cooperate

The Client provides the Contractor with all information, documents and access required for proper performance of the assignment. The Client names a responsible contact person.

6. Confidentiality

Both parties treat all information obtained in the course of the cooperation as confidential. This obligation continues beyond the end of the mandate.

7. Liability

The Contractor is liable for damage caused intentionally or through gross negligence. Liability for slight negligence, consequential damage and lost profit is excluded to the extent permitted by law.

8. Termination

Unless agreed otherwise in the individual assignment, either party may terminate the mandate with 30 days' notice to the end of a month. Early termination for good cause remains reserved.

9. Severability

Should any provision of these terms be or become invalid, the validity of the remaining provisions is unaffected.

10. Applicable law and jurisdiction

These terms and all contracts based on them are governed exclusively by Swiss law. The exclusive place of jurisdiction is St. Gallen, Switzerland.
